Welcome to Kutuli. These Terms of Use ("Terms") govern your access to and use of the Kutuli platform, including the website at www.kutuli.com, the web application, APIs, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Kutuli is operated by Kutuli ("we," "us," or "our"). If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2. Account Registration

To use certain features, you must register for an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Service Plans & Billing

3.1 Plans

Kutuli offers three tiers: Starter (free), Pro, and Business. Each plan provides access to specific features as described on our pricing page. We reserve the right to modify plan features and pricing with reasonable advance notice.

3.2 Payment

Paid plans are billed either monthly or yearly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are in US Dollars unless otherwise stated.

3.3 Cancellation & Refunds

You may cancel your subscription at any time through the Billing Portal accessible from your dashboard. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • Your account reverts to the Starter (free) tier after the billing period ends
  • Your data is preserved and accessible under the Starter tier's feature limits

Refunds are handled on a case-by-case basis. Contact support@kutuli.com for refund requests.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or distribute malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, harvest, or collect data from the Service without our prior consent
  • Impersonate any person or entity, or falsely represent your affiliation
  • Use the Service for spam, phishing, or fraudulent activities
  • Resell, sublicense, or commercially exploit the Service without authorization

5. Your Content

5.1 Ownership

You retain ownership of all content, data, and materials you upload to or create within the Service ("Your Content"). We do not claim any intellectual property rights over Your Content.

5.2 License Grant

By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely for the purpose of operating and providing the Service to you. This license ends when you delete Your Content or your account.

5.3 Responsibility

You are solely responsible for Your Content and ensuring it complies with applicable laws. We are not obligated to monitor Your Content, but we reserve the right to remove content that violates these Terms.

6. Intellectual Property

The Service, including its design, features, functionality, code, trademarks, and documentation, is owned by Kutuli and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

7. Client Approval Portal

The approval portal feature allows you to share content with third parties via magic links. You are responsible for:

  • Ensuring you have the right to share the content you make available through approval links
  • Managing access to your approval links appropriately
  • Complying with any applicable confidentiality obligations to your clients

8. Third-Party Services

The Service integrates with third-party services (e.g., Stripe for payments). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUTULI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kutuli and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
